By accessing or using the Vibrant Practice LLC ("Vibrant," "we," "our," or "us") practice management platform and related services (collectively, the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Vibrant Practice LLC. We may modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Service after any such modifications constitutes your acceptance of the modified Terms.

Vibrant Practice provides a cloud-based practice management platform designed for healthcare providers, including but not limited to clinicians practicing functional, integrative, and longevity medicine. The Service includes:

• Patient intake and documentation tools
• Clinical workflow management
• Patient engagement and communication features
• AI-powered clinical assistance tools
• Data analytics and reporting
• Billing and administrative features

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

To access certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Vibrant Practice LLC is not liable for any loss or damage arising from your failure to protect your account information.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable federal, state, or local laws or regulations
• Violate any healthcare privacy laws, including but not limited to HIPAA
• Transmit any malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers connected to the Service
• Use the Service to store, process, or transmit any illegal content
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems to access the Service without our prior written consent

The Service, including all content, features, functionality, software, and materials, is owned by Vibrant Practice LLC and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms. This license does not include any right to:

• Resell or commercially use the Service
• Copy, modify, or create derivative works of the Service
• Use data mining, robots, or similar data gathering tools
• Remove any copyright or proprietary notices

You retain ownership of all data, information, and content that you upload, store, or transmit through the Service ("User Content"). By using the Service, you grant Vibrant Practice LLC a limited, non-exclusive license to use, store, and process your User Content solely for the purpose of providing and improving the Service.

You represent and warrant that:

• You have all necessary rights to upload and use the User Content
• Your User Content does not violate any third-party rights
• Your User Content complies with all applicable laws and regulations
• You have obtained all necessary consents for any Protected Health Information

If you purchase a subscription or other paid features, you agree to pay all fees associated with your account. Fees are billed in advance on a recurring basis (monthly or annually) unless otherwise agreed.

You are responsible for:

• Providing accurate billing information
• Maintaining current payment method information
• Paying all fees when due
• Any taxes applicable to your use of the Service

We reserve the right to change our pricing with reasonable notice. If you fail to pay fees when due, we may suspend or terminate your access to the Service.

Either party may terminate your account and access to the Service at any time, with or without cause, with or without notice.

Upon termination:

• Your right to access and use the Service will immediately cease
• You may request export of your data within 30 days of termination
• We may delete your account and data after the export period, subject to legal retention requirements
• All provisions of these Terms that by their nature should survive termination will survive

Vibrant Practice LLC does not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Defects will be corrected
• The Service is free of viruses or other harmful components

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIBRANT PRACTICE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

You agree to indemnify, defend, and hold harmless Vibrant Practice LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of any applicable laws or regulations
• Any User Content you submit, post, or transmit through the Service

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.
